2. Quotations and Proposals
Quotations and proposals issued by ABP Digital Solutions are based on the information and requirements supplied by the customer at the time of preparation.
Unless otherwise stated in writing, a quotation does not constitute a binding obligation until it has been accepted by the customer and any required payment has been received.
Changes to requirements, scope, specifications or deliverables after acceptance may result in revised pricing, timelines or a new quotation.
3. Orders and Acceptance
An order is subject to acceptance by ABP Digital Solutions.
We reserve the right to decline or cancel an order where we cannot reasonably provide the requested service, where information supplied is incomplete or inaccurate, where payment cannot be verified, or where fulfilling the order would violate applicable law or third-party service requirements.
4. Prices and Payments
Prices will be stated in South African Rand (ZAR) unless otherwise specified.
Payments may be processed through approved payment service providers, including Paystack, or through other payment methods made available by ABP Digital Solutions.
Customers are responsible for ensuring that payment information provided is accurate and that sufficient funds or authority exist to complete a transaction.
Third-party payment providers may apply their own terms, security procedures and processing requirements.
5. Deposits and Final Payment
Certain services may require a deposit, upfront payment, milestone payments or full payment before work begins.
Where a project is delivered in stages, the applicable quotation or agreement will specify the payment schedule.
Unless otherwise agreed in writing, any outstanding final balance must be paid before final deliverables, production credentials, completed websites, source files or other final project assets are released to the customer.
6. Domains, Hosting, Business Email and SSL
Domain registrations, hosting services, business email and SSL certificates may depend on third-party infrastructure, registries, registrars, hosting providers, certificate authorities and technology suppliers.
Registration or availability of a requested domain name cannot be guaranteed until the registration has been successfully completed.
Some products and services require periodic renewal. Customers are responsible for paying renewal charges by the applicable due date where they wish to continue using the service.
Failure to renew may result in suspension, expiry, loss of service or, in the case of domains, possible loss of the domain name.
7. Website Solutions and Customer Content
Customers must provide information, content, images, branding materials, approvals, credentials and other resources reasonably required to complete their project.
The customer confirms that they have the necessary rights or permissions to use any material supplied to ABP Digital Solutions.
ABP Digital Solutions is not responsible for delays caused by late delivery of customer information, content, approvals or access credentials.
8. Professional and Consulting Services
Consulting, architecture, analysis, transformation, cloud and AI advisory services are provided according to the agreed scope, assumptions and available information.
Recommendations and professional advice may require implementation decisions by the customer or other third parties. Unless specifically included in the agreed scope, ABP Digital Solutions does not guarantee a particular commercial, financial or operational outcome resulting from a recommendation.
9. Artificial Intelligence and Automated Services
ABP Digital Solutions may use artificial intelligence, automation and other digital technologies to support customer service, research, content preparation, analysis, administration and service delivery.
AI-generated or AI-assisted outputs may require human review and should not automatically be regarded as legal, financial, medical or other regulated professional advice.
Where appropriate, ABP Digital Solutions may review or approve AI-assisted customer communications or deliverables before final release.
10. Project Timelines
Any estimated completion or delivery date is based on the agreed scope and information available when the estimate is provided.
Timelines may change because of customer delays, requested changes, technical issues, third-party dependencies or circumstances reasonably outside our control.
We will make reasonable efforts to communicate material changes affecting agreed delivery schedules.
11. Cancellations and Refunds
Cancellation and refund eligibility depends on the type of product or service, the stage of work completed and any costs already incurred by ABP Digital Solutions.
Amounts already paid to third-party providers for domain registrations, hosting, licences, certificates, subscriptions or similar services may be non-refundable where those providers do not permit refunds.
Work already performed may be deducted from any refund that may otherwise be due.
Nothing in these Terms is intended to exclude or limit any rights that a customer has under applicable South African consumer law.
12. Intellectual Property
Unless otherwise agreed in writing, ABP Digital Solutions retains ownership of its pre-existing intellectual property, methodologies, templates, frameworks, processes, reusable components, know-how and internal tools.
Once all applicable fees have been paid, customers will receive the rights to project-specific deliverables described in their applicable quotation, proposal or agreement, subject to any third-party licence conditions.
Third-party software, fonts, images, plugins, platforms, templates and other licensed materials remain subject to the rights and licence terms of their respective owners.
13. Customer Responsibilities
Customers must provide accurate information, maintain appropriate security over their accounts and credentials, use services lawfully, make payments when due, and cooperate reasonably where information or approval is required.
Customers may not use ABP Digital Solutions services for unlawful, fraudulent, abusive, malicious or unauthorised activities.
14. Third-Party Services
Some ABP Digital Solutions services depend upon third-party platforms and providers.
These may include payment processors, domain registrars, hosting infrastructure, Microsoft services, CRM platforms, automation platforms and other technology providers.
ABP Digital Solutions will take reasonable care when selecting and managing such services but cannot guarantee uninterrupted availability or performance of systems operated independently by third parties.
15. Service Availability
We aim to provide reliable services but do not warrant that our website, hosting, email, integrations, automation or other technology services will operate without interruption or error at all times.
Maintenance, internet outages, cybersecurity incidents, provider outages and circumstances beyond our reasonable control may temporarily affect service availability.
16. Privacy and Personal Information
Personal information is processed in accordance with our Privacy Policy and applicable South African data-protection requirements, including the Protection of Personal Information Act, 4 of 2013 (POPIA).
Customers should review the Privacy Policy available on the ABP Digital Solutions website for further information about how personal information is collected, used and protected.
17. Limitation of Liability
To the extent permitted by applicable law, ABP Digital Solutions will not be liable for indirect, incidental, special or consequential losses arising from the use or inability to use our services.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limits statutory rights that cannot lawfully be limited.
18. Suspension or Termination
ABP Digital Solutions may suspend or terminate a service where payments remain overdue, these Terms are materially breached, services are used unlawfully or abusively, or suspension is reasonably necessary to protect customers, systems or third-party infrastructure.
Where reasonably possible, we will provide notice before suspension or termination.
19. Changes to These Terms
ABP Digital Solutions may update these Terms & Conditions when its services, technologies, suppliers, business processes or legal requirements change.
The latest version will be published on our website with the applicable effective date.
20. Governing Law
These Terms & Conditions are governed by the laws of the Republic of South Africa.
Any dispute will be handled in accordance with applicable South African law and any mandatory consumer-protection or dispute-resolution rights available to the customer.
